As Head of Legal and Compliance at Techstep, you will play a pivotal role in ensuring our operations align with regulatory requirements and ESG standards. Reporting to the CFO, you will manage one direct report and oversee corporate governance, compliance frameworks, risk management, supplier processes and investor relations compliance. Main responsibilities and tasks:
Corporate Governance
- Develop and maintain various corporate policies, ensuring alignment with NUES guidelines, relevant regulations and ESG principles
- Oversee group legal structure and filings (e.g., Altinn)
- Facilitate workshops/meetings and prepare materials for the Board of Directors and GM
- Further develop the compliance function
- Manage the whistleblowing channel in collaboration with third-party supplier
- Maintain authority matrix and ensure compliance with anti-corruption, environmental, and other regulations
- Conduct quarterly enterprise risk assessments including reporting to management, Audit Committee and Board
- ESG risk assessment and reporting in collaboration with ESG Manager
- Develop/maintain procurement policy and oversee supplier due diligence
- Monitor supplier compliance with ESG standards and adherence to the Transparency Act, as well as managing requests from customers
- Collaborate with European reseller and supplier networks driven by Electronics Watch
- Ensure compliance with various Oslo Stock Exchange reporting requirements and regulations (i.e. MAR)
- Manage disclosure policies, insider lists and educating the organization
- Provide legal guidance and support to management, sales and procurement teams during contract negotiations etc.
Qualifications:
- Master’s degree in law or similar
- Minimum 5–10 years of relevant experience in general legal counsel, compliance and corporate governance from advisory firms or similar inhouse role in stock-listed companies
- Strong understanding of business processes, enterprise risk management and regulatory compliance (ie. IR compliance, Transparency Act)
- Experience from developing, aligning and implementing organizational policies with legal requirements and corporate standards
- Familiar with regulations and polices related to anti-corruption, human rights, ESG etc.
- Strong communication skills in Norwegian and English, both written and oral
